California Competes Tax Credit Allocation Agreement • April 27th, 2021

This California Competes Tax Credit Allocation Agreement (“Agreement”) is by and between Baker Electric, Inc., a California Corporation (“Credit Recipient”), NB Baker Electric, Inc., a California Corporation and the California Governor’s Office of Business and Economic Development (“GO-Biz”), hereinafter jointly referred to as the “Parties” or individually as the “Party.” Credit Recipient and NB Baker Electric, Inc. hereinafter shall collectively be referred to as “Taxpayer.” All capitalized terms not defined in this Agreement shall have the same meaning as in California Revenue and Taxation Code (“RTC”) sections 17059.2 and 23689, and California Code of Regulations, title 10, section 8000 et seq., as in effect on the Effective Date of this Agreement.

This California Competes Tax Credit Allocation Agreement (“Agreement”) is by and between MX Holdings US, Inc., a Delaware corporation (“Credit Recipient”), Cosco Fire Protection Inc., a California corporation, Supply Network, Inc., a Michigan corporation, Viking Fabrication Services LLC, a Michigan limited liability company, and the California Governor’s Office of Business and Economic Development (“GO-Biz”), hereinafter jointly referred to as the “Parties” or individually as the “Party.” Credit Recipient, Cosco Fire Protection Inc., Supply Network, Inc., and Viking Fabrication Services LLC hereinafter shall collectively be referred to as “Taxpayer.” All capitalized terms not defined in this Agreement shall have the same meaning as in California Revenue and Taxation Code (“RTC”) sections 17059.2 and 23689, and California Code of Regulations, title 10, section 8000 et seq., as in effect on the Effective Date of this Agreement.
