WHEREAS Fire & Flower Holdings Corp. has requested that the DIP Lender (as defined below) has agreed to provide funding to Fire & Flower Holdings Corp. in order to assist with restructuring proceedings under the Companies’ Creditors Arrangement Act (Canada) (the “CCAA”) (the “CCAA Proceedings”);
