THIS ASSET PURCHASE AGREEMENT, dated as of January 2, 2015 (the “Agreement”), is made by and among Mark Calvert, in his capacity as Chapter 11 Trustee (the “Trustee”) for Natural Molecular Testing Corporation, a Washington corporation (“Seller”), and YOURCODE, Inc., a Washington corporation (“Purchaser”). Purchaser’s shareholders Beau Fessenden, Keith Tyacke and Ken Webert (the “Purchaser Shareholders”) are also parties hereto with respect to their individual obligations hereunder. Capitalized terms used herein and not otherwise defined shall have the meanings set forth in Article 9 of this Agreement.
