This Amendment No. 1 (this “Amendment”) is made this 8th day of February, 2002 (the “Effective Date”) by and between Verizon South Inc., f/k/a GTE South Incorporated (“Verizon”), a Virginia corporation, and Cellco Partnership, d/b/a Verizon Wireless, a Delaware general partnership, on behalf of itself and the following entities: GTE Wireless of the Midwest Incorporated; and, Kentucky RSA No. 1 Partnership (collectively “Verizon Wireless”) (each of Verizon and Verizon Wireless being individually a “Party” and, collectively, the “Parties”).
