This Strategic Supply Agreement (this “Agreement”) is entered into as of the 26th day of February, 2010 (the “Effective Date”), by and between ViroPharma Biologics, Inc., a Delaware corporation (the “Buyer”) and Biotest Pharmaceuticals Corporation, a Delaware corporation (“Seller”). Buyer and Seller are referred to collectively herein as the “Parties” and each individually as a “Party.”
