In connection with the certain discussions, negotiations or dealings between the parties relating to Principia Ventures LLC, Maxwell Analytics LLC, and the related intellectual property of Dr. Robert Morgan between the undersigned (“Recipient”) and Principia Ventures LLC, a Delaware limited liability company (the “Company” or “Discloser”), the parties recognize that there is a need for the Company to disclose Proprietary Information (as such term is defined below) to the Recipient pursuant to the terms of this Nondisclosure Agreement (this “Agreement”).
