The purpose of this letter (this "Confirmation Letter") entered into this day of October 2014 (the “Effective Date”) is to confirm the terms and conditions of the transaction between Vitol Inc. ("Seller") and City of San Jose California ("Buyer") as of the Effective Date (the "Transaction"). Seller and Buyer are each referred to as a "Party" and, collectively, as the "Parties." This Confirmation Letter, including and incorporating the attached General Terms and Conditions and Schedules thereto, shall constitute the entire agreement ("Agreement") between the Parties related to the subject matter hereof and supersedes and replaces any prior oral or written confirmation, including broker confirmations, regarding this Transaction.
