These terms and conditions of sale (“Terms) are the only terms which govern the sale of product (“Product”) by Brentwood Industries, Inc. (“Brentwood”) to Purchaser (“Purchaser”). Brentwood and Purchaser together are the “Parties” and each a “Party” herein. Brentwood’s accompanying quotation or proposal (collectively “Quote”) and these Terms (collectively this “Agreement”), comprise the entire agreement between the Parties and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, or communications, both written or oral. In the event of a conflict between these Terms and a Quote, the terms in the Quote prevail. The terms of this Agreement prevail over any of Purchaser's Purchase Order terms and conditions and any general terms and conditions of purchase regardless whether or when Purchaser has submitted its purchase order or such terms (“Purchase Order”).
