Pursuant to the Restricted Stock Unit Grant Notice for Non-Employee Directors (the “Grant Notice”) delivered to the Participant (as defined in the Grant Notice), and subject to the terms of this Restricted Stock Unit Agreement for Non-Employee Directors (the “Restricted Stock Unit Agreement”) including, if applicable, any special terms and conditions for the Participant’s country set forth in Appendix A attached hereto (collectively, this “Agreement”), and the Catalent, Inc. 2018 Omnibus Incentive Plan, Catalent, Inc.
