This Professional Services Agreement (“Agreement” or “PSA”) is between the Adaptive Insights entity (and Workday Affiliate) identified as the “Workday Entity” on the SOW (“Workday”) and the customer entity identified by “Customer Name” on the SOW (“Customer”), and is effective as of the later of the dates of the parties’ signatures on the SOW (“Effective Date”). Whereas, Workday offers professional services in conjunction with its hosted application service; Customer desires to obtain such professional services; and this business relationship and the allocation of responsibilities are set forth in this Agreement. Therefore, the parties agree as follows:
