NOW THEREFORE, in consideration of the mutual covenants and premises contained herein, the parties hereby agree as follows: ARTICLE I EMPLOYMENT 1.1 Employment Term. The Corporation hereby agrees to employ the Executive, and the Executive hereby agrees to serve the Corporation, on the terms and conditions set forth herein, and in the Executive's term sheet, a copy of which is attached hereto as Exhibit 1 (the "Term Sheet"). The employment of the Executive by the Corporation shall be effective as of November 16, 2015 or such other date as the parties may agree (the "Start Date") and shall continue until the close of business at the end of the fiscal year end
