This Agreement (“Agreement”) shall be deemed effective as of April 6, 2007 (the “Effective Date”), between Airespring, Inc. (“Airespring”), a corporation organized under the laws of the State of Delaware, with offices at 6060 Sepulveda Blvd, 2nd Floor, Van Nuys, CA 91411 and Verizon North Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 8001 West Jefferson, Ft. Wayne, IN 46804 (Verizon and Airespring may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
