COMPANY AGREEMENT (this “Agreement”) is entered into as of April 6, 2022, by and among the members of Hedera Hashgraph, LLC set forth in Schedule 1 attached hereto (each a “Member” and, collectively, the “Members”) for the purpose of continuing Hedera Hashgraph, LLC (the “Council”), a limited liability company organized under the Delaware Limited liability company Act, 6 Del. C. § 18-101, et seq., as amended (the “Act”).
