NOW THEREFORE, in consideration of the covenants, agreements and releases set forth and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, it is agreed by the Parties that the Proceedings and Second Quebec Action be settled and dismissed with prejudice as to the Settling Defendants only, without costs as to the Plaintiffs, the classes they represent or seek to represent or the Settling Defendants, subject to the approval of the Courts, on the following terms and conditions:
