THIS AMENDMENT to Escrow Agreement ("Amendment '), is made and entered into as of the day of May, 2008 (the "Effective Date"), by and among Hudson Utilities, Inc., a Florida corporation, (the "Seller"), Pasco County, Florida, a political subdivision of the State of Florida (the "County"), and the Clerk of Court of Pasco County, Florida, as escrow agent ("Escrow Agent"). The Seller, County and Escrow Agent are sometimes referred to herein as "Parties".
