THIS AGREEMENT is made and entered into as of this 15th day of July, 2009, by and among HATTERAS 1099 ADVANTAGE INSTITUTIONAL FUND, a Delaware statutory trust (the “Master Fund”), HATTERAS 1099 ADVANTAGE FUND, a Delaware statutory trust (the “Feeder Fund”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America with its principal place of business at Minneapolis, Minnesota (the “Custodian”). The Master Fund and Feeder Fund are collectively referred to herein as the “Funds”.
