made effective as of the 17th day of January, 2013 (the “Effective Date”) by and between Shelly Moretti (25% Interest), Jacques Robert (25%) and, Michael Tremblay (50% Interest), Province of Ontario, Canada, residents (“Seller”) and Joshua Gold Resources Inc., a Nevada corporation (“Purchaser”). Purchaser and Seller are collectively referred to herein as the “Parties” and individually as a “Party”.
