This Agreement is supplemental to the Programme Agreement (the Programme Agreement) dated 21 November 2006, as amended and restated on 30 July 2007 and further amended and restated on 20 December 2007, made among the Issuer, Alliance & Leicester plc, Fosse Funding (No. 1) Limited, Fosse Trustee Limited and the Dealers and the Arranger party thereto (and to which Santander UK became a party in place of Alliance & Leicester plc on 28 May 2010 by virtue of a bank business transfer scheme under Part VII of the Financial Services and Markets Act 2000), a copy of which is attached as Annex 5. Unless otherwise defined herein, all terms with initial capitals used herein without definition have the meanings given to them in the Programme Agreement. For the purposes of this Agreement and the Programme Agreement, references in this Agreement to the “Arranger” shall be deemed to be references to the “Lead Manager” as that term is used in the Programme Agreement.
