This Limited Partnership Agreement of RadioShack Merchandising L.P. is made and entered into to be effective as of the 1st day of January, 2000, by and between Tandy Corporation, a Delaware corporation, as the general partner (hereinafter referred to as “General Partner”) and Merchandising Services, Inc. a Nevada corporation, as the limited partner (hereinafter referred to as “Limited Partner” the General Partner and Limited Partner are herein collectively referred to as “Partners”).
