This PROFESSIONAL SERVICES AGREEMENT (this “Agreement”) is entered into as of May 1st, 2015 (the “Effective Date”) by and between the Pennsylvania Horticultural Society (“PHS”), a Pennsylvania non-profit corporation with its principal place of business at 100
