This General Assignment and Assumption Agreement (this “Agreement”) is entered into this 5th day of November, 2018, by and among Gerdau Ameristeel US Inc., a Florida corporation (“Selling Subsidiary 1”), and Gerdau Ameristeel Sayreville Inc., a Delaware corporation (“Selling Subsidiary 2” and, together with Selling Subsidiary 1, the “Assignors” and each, an “Assignor”), on the one hand, and CMC Steel US, LLC, a Delaware limited liability company (the “Assignee”), on the other hand. Capitalized terms used in this Agreement, but not otherwise defined herein, have the meanings ascribed thereto in the Purchase Agreement (as defined herein).
