, 2017 (the “Effective Date”), by and between Occidental Chemical Corporation, a New York Corporation, with its principal place of business at 5005 LBJ Freeway, Suite 1500, Dallas, Texas 75244 (“Grantor”) and Port of Corpus Christi Authority of Nueces County, Texas a navigation district and political subdivision of the State of Texas operating under Article XVI, Section 59 of the Texas Constitution, whose address is 222 Power Street, Corpus Christi, Texas 78401 (“Grantee”). Grantor and Grantee are sometimes referred to herein individually as “Party” or collectively as “Parties.” Grantee and its commissioners, officers, employees, agents, contractors and representatives are sometimes referred to herein individually as “Grantee Party” and collectively as “Grantee Parties.”
