(the “Company”), on the one hand, and Concord IP2 Ltd., Elderhill Corporation, Leonite Capital LLC, Leonite Fund I, LP, Camac Partners, LLC, Camac Capital, LLC, Camac Fund, LP, David Delaney, Avi Geller, and Eric Shahinian (collectively, the “Investor Group Parties”), on the other hand (each of the Company and the Investor Group Parties, a “Party” and collectively, the “Parties”).
