This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of January 3, 2006 (the “Effective Date”), between Ymax Communications Corp. (“Ymax”), a corporation organized under the laws of the State of Delaware, with offices at 223 Sunset Ave., Suite 223, Palm Beach, FL 33480 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and Ymax may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
