This TRANSITION SERVICES AGREEMENT (this “Agreement”), dated as of January [], 2018, is by and between GBG USA INC., a Delaware corporation (“Buyer”), and AEROGROUP INTERNATIONAL, INC., a New Jersey corporation, in its capacity as a debtor and debtor in possession in the Bankruptcy Cases (the “Company”), the other debtors listed on the signature pages hereto, each in its capacity as a debtor and debtor in possession in the Bankruptcy Cases (collectively with the Company, the “Seller Parties”) Buyer and the other Seller Parties are sometimes referred to herein individually as a “Party” and collectively as the “Parties”. Capitalized terms used herein and not otherwise defined shall have the meanings as set forth in the Asset Purchase Agreement (as defined below).
