This Amended and Restated Employment Agreement (the “Agreement”) is made and entered into to be effective as of June 1, 2023 (the “Effective Date”), by and among Horizon Bank (the “Bank”), an Indiana state-chartered bank, Horizon Bancorp, Inc. (the “Holding Company”), an Indiana corporation and a registered bank holding company, and Thomas M. Prame (the “Executive”). The Bank and the Holding Company are referred to herein jointly as the “Company.” As of the Effective Date, this Agreement amends and restates that certain Employment Agreement between the parties dated August 15, 2022, which shall be terminated and of no further force and effect thereafter.

This Second Amended and Restated Employment Agreement (the “Agreement”) is made and entered on September 20, 2022, but effective as of the Effective Date, by and among Horizon Bank (the “Bank”), an Indiana state–chartered commercial bank, Horizon Bancorp, Inc. (the “Holding Company”), an Indiana corporation and a registered bank holding company, and Craig M. Dwight (the “Executive”), a resident of the State of Indiana. The Bank and the Holding Company are referred to herein jointly as the “Company.” If and when this Agreement becomes effective on the Effective Date, this Agreement will update, amend, restate, supersede and replace in its entirety the Amended and Restated Employment Agreement, dated January 1, 2020, by and among the parties to the extent such prior agreement is not already expired or terminated.

THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into to be effective as of August 15, 2022 (the “Effective Date”), by and among HORIZON BANK (the “Bank”), an Indiana state-chartered bank, HORIZON BANCORP, INC. (the “Holding Company”), an Indiana corporation and a registered bank holding company, and THOMAS M. PRAME (the “Executive”). The Bank and the Holding Company are referred to herein jointly as the “Company.” If Executive’s employment with the Company does not commence on the Effective Date for any reason, this Agreement shall automatically terminate and be of no further force and effect.
