This Agreement, made as of the last date set forth on the last page hereof (the “Effective Date”), by and between ABC Co., Ltd. (“ABC”) and Heartheart corporation (“Heartheart”), sets forth the terms and conditions of the confidential disclosure of certain information between the parties. The party from time to time disclosing Confidential Information, as herein defined, shall be referred to as “Discovering party” from time to time receiving such Confidential Information shall be referred to as the “Receiving Party”. The term “Confidential Information” shall refer to the Confidential Information disclosed by ABC or Heartheart, as the case may be.
