THIS AGREEMENT is made and entered into this day of December, 2022, by and among INTERGRAPH UNIMPROVED PROPERTIES, LLC, a Delaware limited liability company, and INTERGRAPH IMPROVED PROPERTIES, LLC, a Delaware limited liability company (collectively, “Seller”) and CITY OF MADISON, ALABAMA, an Alabama municipal corporation (“Buyer”).
