THIS ASSET PURCHASE AGREEMENT (this “Agreement”), is made and entered into as of December , 2013 (the “Effective Date”), by and among , a or its designee (“Purchaser”), Color Star Growers of Colorado, Inc., a Colorado corporation (“Color Star”), Vast, Inc., a Texas corporation (“Vast”), and Color Star, L.L.C., a Colorado limited liability company (“CLLS” and collectively with Color Star and Vast, “Sellers”). Purchaser and Sellers are sometimes referred to herein individually as a “Party” and collectively as the “Parties”. Capitalized terms used in this Agreement have the meaning given such terms in Section 1.1.
