This Registration Rights Agreement (this “Agreement”) is made and entered into as of December 9, 2003 by and among Insight Midwest, L.P., a Delaware limited partnership (the “Company”), Insight Capital, Inc., a Delaware corporation (together with the Company, the “Issuers”), and Banc of America Securities LLC, BNY Capital Markets, Inc., J.P. Morgan Securities Inc., Morgan Stanley & Co. Incorporated and TD Securities (USA) Inc. (the “Initial Purchasers”), has agreed to purchase the Issuers’ 10½ % Series A Senior Notes due 2010 (the “Series A Notes”) pursuant to the Purchase Agreement (as defined below).
