This Purchase and Sale Agreement (the “Agreement”) is dated as of March 18, 2013, by and among Memorial Resource Development LLC, a Delaware limited liability company (“MRD”), Tanos Energy, LLC, a Delaware limited liability company (“Tanos”), WildHorse Resources, LLC, a Delaware limited liability company (“WildHorse” and, together with Tanos, the “Sellers”), and Memorial Production Operating LLC, a Delaware limited liability company (“Buyer”).
