AGREEMENT AND PLAN OF MERGER, dated as of June 8, 2010, by and among TEOCO Corporation, a Delaware corporation ("Parent"), TEOCO Israel Ltd., an Israeli company and a wholly owned subsidiary of Parent ("Merger Sub"), and TTI Team Telecom International Ltd., an Israeli company (the "Company").
