THIS MEMORANDUM OF AGREEMENT (“Agreement”) is made and entered into as of December , 2004 (the “Effective Date”), by and between the CITY OF CALABASAS, a public body, corporate and politic (hereinafter referred to as the “City”) the LAS VIRGENES UNIFIED SCHOOL DISTRICT, a public body, corporate and politic (hereinafter referred to as “LVUSD”) and THE OAKS OF CALABASAS HOMEOWNERS ASSOCIATION, a California not-for-profit corporation (hereinafter referred to as “Oaks HOA”). City, LVUSD and Oaks HOA are individually referred to herein as a “party” and are collectively referred to as the “parties.”
