This MEMORANDUM OF UNDERSTANDING (this “Memorandum”) is effective as of [ ]1, 2023 (the “Effective Date”), by and between NORTHWESTERN UNIVERSITY, an Illinois corporation (“Northwestern”), and THE CITY OF EVANSTON, a municipal corporation (the “City”). Northwestern and the City are sometimes referred to herein individually as a “Party” and collectively as the “Parties”. As used herein, the term “Northwestern” shall include its contractors, operators and/or affiliates, as applicable.
