NextEra Energy Partners, LP, a Delaware limited partnership (the “Partnership”), proposes to issue and sell through Barclays Capital Inc., Goldman Sachs & Co. LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated (each, a “Manager” and collectively, the “Managers”), as sales agent or as principal, from time to time during the term of this Distribution Agency Agreement (this “Agreement”) common units representing limited partner interests in the Partnership (“Common Units”) having an aggregate gross sales price of up to $150,000,000 (the “Maximum Amount”) on the terms set forth herein (the “Units”). The obligations of the Managers under this Agreement shall be several, and not joint.
