WHEREAS, certain of the Investors (the “Existing Investors”) hold shares of the Company’s Series A-1 Preferred Stock (by virtue of the reclassification of the Series A Preferred Stock of the Company into shares of Series A-1 Preferred Stock of the Company on the date hereof as set forth in the Company’s Second Amended and Restated Certificate of Incorporation filed with the Secretary of State of the State of Delaware on or about the date hereof) and are parties to an Investors’ Rights Agreement, dated as of October 21, 2013, by and among the Company and certain of its stockholders (the “Prior Agreement”);
