This letter of intent ("Agreement") effective when executed by all the parties hereto, will evidence the current mutual intent, as set forth in Article I below, of Enron Compression Services Company, a Delaware corporation ("ECS") and OGS Pipeline, LLC, a __________________ limited liability company ("OGS"), for the provision of compression services utilizing electric motor drivers at Oakhill’s Hinkle Station in Rusk County, Texas (the "Project"). OGS and ECS are sometimes referred to individually as a "Party" and collectively as the "Parties".
