("MBHI"), Melrose Park, Illinois, a registered bank holding company, and its subsidiary bank, Midwest Bank and Trust Company, Elmwood Park, Illinois (the "Bank"), a state chartered bank that is a member of the Federal Reserve System, MBHI, the Bank, the Federal Reserve Bank of Chicago (the "Reserve Bank"), and the Illinois Department of Financial and Professional Regulation, Division of Banking (the "Department") have mutually agreed to enter into this Written Agreement (the "Agreement"); and
