MASTER SOFTWARE LICENCE AND SUBSCRIPTION AGREEMENT SOFTWARELIZENZ- UND -ABONNEMENT- RAHMENVEREINBARUNG This Master Software Licence and Subscription Agree- ment (the “Agreement”) is made by and between Ave- Point Deutschland GmbH (“AvePoint”) including if and where applicable its Affiliates (as defined below), and your company or entity (“Customer”), for use of cer- tain of AvePoint’s Services and/or Products (“Solu- tions”). Each party hereto shall be referred to as “Party”; collectively, the “Parties”.The Agreement consists of the terms and conditions set forth below, any exhibits, addenda, or appendices identified below, and any Order Forms that properly incorporate this Agreement as controlling. This Agree- ment is effective immediately upon the earlier of: (1) submission of an Order (as defined below), or (2) ac- cepting these terms by clicking a box indicating your acceptance of the Agreement on the AvePoint website or during the installation process of any of AvePoint’s Licensed
