WHEREAS the Corporation proposes to create, issue and sell on a private placement basis up to 15,000,000 Subscription Receipts at a price of $0.30 per Subscription Receipt, in one or more closings, with each Subscription Receipt representing the right of the holder thereof to acquire one Unit, subject to certain adjustments, for no additional consideration in the manner herein set forth. Each Unit is comprised of one Underlying Share and one half of one Warrant. Each whole Warrant entitles the holder thereof the right to purchase one Warrant Share, subject to certain adjustments, at an exercise price of $0.50 per Warrant Share for a period of 24 months from the Closing Date (as defined herein), subject to certain adjustments;
