The Notes will be fully and unconditionally guaranteed, on a joint and several basis, as to payment of the principal thereof, and premium, if any, and interest thereon (each, a “Guarantee” and collectively, the “Guarantees”) by each of PSEG Nuclear LLC, a Delaware limited liability company (“Nuclear”), PSEG Fossil LLC, a Delaware limited liability company (“Fossil”), and PSEG Energy Resources & Trade LLC, a Delaware limited liability company (“ER&T”).
