Great-West Life & Annuity Insurance Company of New York (“GWLA NY”), Great-West Life & Annuity Insurance Company (“GWLA”, and together with GWLA NY, the “Company”), Neuberger Berman Advisers Management Trust (the “Fund”), a Delaware statutory trust, and Neuberger Berman BD LLC (the “Underwriter”), a Delaware limited liability company, entered into three Fund Participation Agreements dated January 1, 1999, March 1, 2005 and March 1, 2006, as each may be amended from time to time (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of April 5, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Underwriter (collectively, the “Parties”).
