This settlement agreement (the “Settlement” or “Agreement”) is made and entered into this 10th day of January, 2018 (the “Execution Date”), between Plaintiffs Ellen Gelboim and Linda Zacher (collectively, the “Bondholder Plaintiffs”), individually and on behalf of the Bondholder Class in the Bondholder Plaintiff Action (“Bondholder Action”), and defendants Citibank, N.A. and Citigroup Inc. (collectively, “Citi”), by and through Bondholder Plaintiff Interim Co-Lead Counsel (“Bondholder Plaintiffs’ Counsel”) and Citi’s Counsel, respectively. The Parties intend this Agreement to fully, finally, and forever resolve, discharge, and settle the Released Claims, upon and subject to the terms and conditions hereof.
