THIS AGREEMENT (the "Agreement") is entered into as of the January 4, 2017, (the "Effective Date"), between Host Compliance LLC, a Delaware limited liability company, (the "Contractor") and City of Fort Lauderdale, a Florida municipality, with an address at 100 North Andrews Avenue, Fort Lauderdale, FL 33301, USA, (the "City"). This Agreement sets forth the terms and conditions under which Contractor agrees to license to City certain hosted software and provide all other services necessary for productive use of such software (the "Services") as further described in the attached Schedule 1.
