MIPS Technologies, Inc., a Delaware corporation (the "Company"), has granted to (the "Optionee"), as of (the "Grant Date"), an option (the "Option") to purchase a total of 40,000 shares of the Company's Common Stock ("Common Stock"), at the price determined as provided herein, and in all respects subject to the terms, definitions and provisions of the Company's Directors' Stock Option Plan (the "Plan") which is incorporated herein by reference. The terms defined in the Plan shall have the same defined meanings herein. In the event of any conflict between the terms and conditions of the Plan and the terms and conditions of this Director's Stock Option Agreement, the terms and conditions of the Plan shall prevail.

MIPS Technologies, Inc., a Delaware corporation (the "Company"), has granted to (the "Optionee"), as of (the "Grant Date), the date of the Company's Annual Meeting, an option (the "Option") to purchase a total of 10,000 shares of the Company's Common Stock, at the price determined as provided herein, and in all respects subject to the terms, definitions and provisions of the Company's Directors' Stock Option Plan (the "Plan") which is incorporated herein by reference. The terms defined in the Plan shall have the same defined meanings herein. In the event of any conflict between the terms and conditions of the Plan and the terms and conditions of this Director's Stock Option Agreement, the terms and conditions of the Plan shall prevail.
