This Participation Agreement (“Agreement”) is made and entered into as of 12:00 am, December , 2018 (the “Effective Date”) by and among the CITY OF ORANGE, a municipal corporation of the State of California (the “City”), on the one hand, and SOUTHERN COUNTIES OIL CO., a California Limited Partnership (“SCOC”), and ORANGE KATELLA, LLC, a California limited liability company (“Orange Katella”), on the other hand. Each of the foregoing parties may be referred to hereafter as a “Party,” and jointly as the “Parties.” SCOC and Orange Katella may be collectively referred to herein as “Owner”.
