Neither party to Agreements, when dealing with the other party in relation to the Plan, will be obliged to determine the other party’s authority to act pursuant to Agreements. Furthermore, the individuals executing the Agreements on behalf of DBI and Employer do each hereby represent and warrant that: they are duly authorized by all necessary action to execute the Agreements on behalf of their respective principals; and the execution and delivery of the Agreements and the consummation of the transactions herein provided have been duly approved by Employer and DBI and do not violate any agreements to which Employer or DBI is a party or otherwise bound.
