THIS SETTLEMENT AGREEMENT (“Agreement”) is made and entered on this day of May, 2011 (the “Effective Date”) by and between the Township of West Orange (“Township”), a municipal corporation of the State of New Jersey, Telgian Corporation (including its subsidiary, predecessor, and affiliated entities, including but not limited to Fire Materials Group, LLC, and TVA Fire & Life Safety, Inc), (collectively, “Telgian”), a fire protection and alarm system testing and inspection company with headquarters in Tempe, Arizona, and Sears Holdings Corporation (“Sears”), a retail corporation with headquarters in Hoffman Estates, Illinois (collectively, the “Parties”). No other parties, except the foregoing named entities, shall be deemed subject to the terms of this Agreement.
