This Agreement (“Agreement”) shall be deemed effective as of October 20, 2004 (the “Effective Date”), between Quality Telephone, Inc. (“Quality Tel”), a corporation organized under the laws of the State of Texas, with offices at 301 No. Market Street, #400, Dallas, TX 75202 and Verizon North Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and Quality Tel may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
