This Non-Disclosure and Confidentiality Agreement (the "Agreement"), effective as of the date last entered below (the "Effective Date"), is entered into by and between Strategic M&A Advisors, LLC, an Arkansas limited liability company with offices at 8201 Cantrell Road, Suite 315, Little Rock, Arkansas 72227, its principals, associates, agents and employees, (collectively the "Disclosing Party"), the Recipient named below (the “Recipient”) and its Representatives as defined below and together with the Disclosing Party, (the "Parties", and each, a "Party").
